1. Purpose

This Agreement establishes a strategic partnership under which the Agent will promote and facilitate international student recruitment to institutions associated with GlobCred (Markingo Portal LLC), registered in the United Arab Emirates.

2. Scope of engagement

Agent responsibilities:

• Source and counsel prospective students
• Assist in application and admission processes
• Ensure accuracy of documents and student information
• Maintain ethical communication and representation at all times

GlobCred responsibilities:

• Manage university partnerships and backend operations
• Process student applications and compliance checks
• Handle financial settlements with institutions
• Provide systems, training, and operational support

3. Commercial terms

3.1 University commission sharing: Agent will receive 80% of net commission received by GlobCred from universities for successfully enrolled students sourced by the Agent.

3.2 Performance incentive (financing-linked): Agent becomes eligible for up to 1% of transaction value as additional commission. Eligibility activates only after 10 successful financed student cases. Final percentage (up to 1%) depends on volume, conversion quality, and compliance adherence.

3.3 Payment terms: Commissions paid within 15 business days of receipt from universities via approved banking channels. GlobCred reserves the right to adjust payouts for refunds/clawbacks and to hold payouts in case of disputes or compliance issues.

4. Brand protection & representation

The Agent shall represent GlobCred professionally and ethically; not publish any marketing material using GlobCred brand without written approval; not misrepresent services, outcomes, or financial aspects; not act as or claim to be GlobCred. Violations including misleading guarantees or brand misuse will result in immediate termination, commission forfeiture, and legal action.

5. Data security, privacy & ownership

All student, partner, and institutional data remains the exclusive property of GlobCred. Agent may only use data for processing students under this Agreement within GlobCred-approved systems. Agent shall NOT: store or export data outside authorized systems; share data with third parties; use data for competing services; build independent databases. Compliance with UAE Data Protection Laws and GDPR (where applicable) is mandatory. Any breach results in immediate termination, liability for damages, and legal action. This clause survives termination.

6. Compliance & conduct

Agent shall follow ethical recruitment practices, maintain transparency with students, and support audits and verification requests. GlobCred may suspend operations in case of fraud, misrepresentation, or compliance violations.

7. Term & termination

Term: 2 Years, auto-renewable annually. Either party may terminate with 30 days written notice. Immediate termination applies for: brand misuse; fraud or unethical conduct; data breach; misrepresentation.

8. Relationship of parties

Independent contractor relationship. Agent has no authority to bind GlobCred. Non-exclusive partnership.

9. Dispute resolution

Parties shall first attempt amicable resolution. If unresolved within 30 days, referred to the Dubai International Arbitration Centre (DIAC). Decision is final and binding.

10. Governing law & jurisdiction

Governed by the laws of the United Arab Emirates. Exclusive jurisdiction: Courts of Dubai, UAE.

11. Entire agreement

This Agreement supersedes all prior communications and understandings between the parties relating to its subject matter.
